1. Acceptance of Terms

By accessing or using AIworX ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

These Terms constitute a legally binding agreement between you ("User," "you," or "your") and AIworX ("we," "our," or "us"). We reserve the right to modify these Terms at any time. Material changes will be communicated via email or through the Service. Continued use of the Service after changes constitutes acceptance of the revised Terms.

2. Eligibility

To use AIworX, you must:

• Be at least 18 years of age
• Have the legal capacity to enter into a binding agreement
• Have a valid Facebook account
• Have an Instagram Professional (Business or Creator) account
• Comply with all applicable laws and regulations

By using the Service, you represent and warrant that you meet all eligibility requirements.

3. User Accounts

When you create an account, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Maintain the security of your password and accept all risks of unauthorized access
• Notify us immediately of any unauthorized use of your account
• Accept responsibility for all activities that occur under your account

We reserve the right to suspend or terminate accounts that provide false or misleading information.

4. Facebook Login

AIworX uses Facebook Login for authentication. By using Facebook Login, you acknowledge:

• You are subject to Facebook's Terms of Service in addition to these Terms
• We only access the data explicitly granted through Facebook permissions
• You may revoke Facebook Login access at any time through your Facebook account settings
• We do not store your Facebook password
• We only use Facebook data to provide and improve the Service

5. Instagram Integration

AIworX integrates with Instagram through the Instagram Graph API. By connecting your Instagram account, you acknowledge:

• You must comply with Instagram's Terms of Service and Community Guidelines
• You must comply with the Instagram Platform Policy
• You are responsible for the content sent through your Instagram account
• We only access data and perform actions that you explicitly authorize
• You may disconnect your Instagram account at any time from your dashboard
• We will never post content or send messages without your explicit configuration

You are solely responsible for ensuring that your use of AIworX complies with Instagram's policies. We are not responsible for any account suspension or restriction resulting from your use of the Service.

6. User Responsibilities

You are responsible for:

• All content sent through AIworX using your connected accounts
• Ensuring your automated responses comply with applicable laws and platform policies
• Obtaining necessary consent from recipients of automated messages
• Managing and monitoring your automation rules and configurations
• Ensuring compliance with anti-spam regulations (e.g., CAN-SPAM, GDPR)
• Reviewing AI-generated suggestions before sending them

7. Prohibited Activities

You may not use AIworX to:

• Send spam, unsolicited messages, or bulk messages without proper consent
• Harass, bully, or intimidate other users
• Violate any applicable law or regulation
• Infringe upon the rights of others, including privacy rights
• Collect or harvest user data without consent
• Impersonate any person or entity
• Distribute malware, viruses, or other harmful code
• Attempt to gain unauthorized access to any part of the Service
• Interfere with or disrupt the Service or servers
• Circumvent any usage limits or rate limits
• Use automated means (bots, scrapers) to access the Service except through our API
• Reverse engineer, decompile, or disassemble any part of the Service
• Resell or redistribute the Service without authorization

We reserve the right to suspend or terminate your account for any prohibited activity.

8. AI Generated Content Disclaimer

AIworX provides AI-generated message suggestions and auto-reply features. You acknowledge and agree that:

• AI-generated content is provided as suggestions only and may not always be accurate or appropriate
• You are solely responsible for reviewing and approving AI-generated content before it is sent
• AI-generated responses do not constitute professional advice of any kind
• We do not guarantee the accuracy, completeness, or quality of AI-generated content
• You are responsible for any content sent using AI-generated suggestions
• We disclaim all liability for damages resulting from the use of AI-generated content

9. Intellectual Property

The Service, including all content, features, and functionality, is owned by AIworX and is protected by copyright, trademark, and other intellectual property laws.

You retain ownership of any content you submit through the Service, including messages, configurations, and other data. By using the Service, you grant us a limited license to process this content solely for the purpose of providing the Service.

You may not copy, modify, distribute, sell, or lease any part of our Service or its content without our express written permission.

10. Subscription Plans

AIworX offers subscription-based access to the Service. Subscription terms include:

• Subscriptions are billed in advance on a recurring basis (monthly or annually)
• Subscription plans and pricing are subject to change with 30 days' notice
• Subscriptions automatically renew unless canceled before the renewal date
• You may cancel your subscription at any time from your account settings
• Cancellation takes effect at the end of the current billing period
• No prorated refunds for partial billing periods except as described in the Refund Policy below

11. Billing

All fees are exclusive of taxes unless otherwise stated. You are responsible for all applicable taxes associated with your use of the Service.

Payment is processed through our third-party payment processor. By providing payment information, you represent and warrant that you are authorized to use the payment method.

If payment fails, we may suspend your access to the Service until payment is successfully processed. We will attempt to notify you before any suspension.

12. Refund Policy

We offer refunds under the following conditions:

• If you experience a significant service outage lasting more than 48 consecutive hours
• If the Service fails to substantially perform as described and documented
• If you cancel within 14 days of initial subscription purchase (first-time subscribers only)

Refund requests must be submitted within 30 days of the charge. Refunds are processed within 10 business days to the original payment method.

No refunds are provided for:

• Partial subscription periods (except first-time subscribers within 14 days)
• Suspected violations of these Terms
• Service interruptions caused by third-party platforms (Meta, Instagram)

13. Service Availability

We strive to maintain high availability of the Service, but we do not guarantee uninterrupted access. The Service may be temporarily unavailable due to:

• Scheduled maintenance
• Emergency maintenance
• Third-party service disruptions
• Force majeure events

We will provide reasonable notice of scheduled maintenance when possible. We are not liable for any downtime or service interruptions.

14. Suspension

We may suspend your access to the Service immediately and without prior notice if:

• You breach these Terms or any applicable policy
• Your use poses a security risk to the Service or other users
• Required by law or regulatory order
• Your payment method fails and is not updated within 7 days

During suspension, you may not access your data. We will provide notice and an opportunity to respond before permanent termination, except in cases of immediate security risk.

15. Termination

Either party may terminate this agreement:

• By you: You may terminate at any time by deleting your account or contacting support
• By us: We may terminate with 30 days' notice for any reason, or immediately for material breach

Upon termination:

• Your access to the Service will cease immediately
• We will delete your data within 30 days unless retention is required by law
• You may request export of your data before termination takes effect
• Provisions that by their nature should survive termination will survive (including Sections 9, 16, 17, and 18)

16. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AIWORX SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING FROM:

• Your access to or use of the Service
• Any conduct or content of any third party on the Service
• Any content obtained from the Service
• Unauthorized access, use, or alteration of your transmissions or content

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

17. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, secure, or error-free, or that defects will be corrected. We do not make any warranties about the accuracy, reliability, or completeness of the Service or its content.

18. Governing Law

These Terms shall be governed by and construed in accordance with applicable laws, without regard to conflict of law principles. Any dispute arising under these Terms shall be resolved through good-faith negotiation first, and if not resolved, through binding arbitration or litigation in the jurisdiction of our principal place of business.
